1. Introduction

These Terms and Conditions ("Terms") govern your use of services provided by Ascent Motors Pte Ltd ("Company," "we," "our," or "us"), a company registered in Singapore, operating from 333 Orchard Road, #01-01 Mandarin Gallery, Singapore 238867.

By engaging our services or using our website, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you and Ascent Motors. Please read them carefully before proceeding.

3.1 Eligibility

Our services are available to individuals who are at least 21 years of age and possess legal capacity to enter into contracts under Singapore law. By engaging our services, you confirm that you meet these requirements.

3.2 Service Description

Ascent Motors provides automotive consultation and acquisition facilitation services. We act as advisors and facilitators in the vehicle selection and purchase process. We are not a licensed motor dealer selling vehicles directly.

3.3 Accuracy of Information

You agree to provide accurate, current, and complete information during consultations and throughout the service engagement. Inaccurate information may affect the quality of recommendations and service delivery.

All content, materials, and methodologies developed by Ascent Motors remain our exclusive intellectual property. This includes consultation frameworks, assessment criteria, and proprietary processes.

You may not reproduce, distribute, or create derivative works from our materials without prior written consent.

Vehicle specifications, images, and technical data provided during consultations are for informational purposes only and may be subject to third-party intellectual property rights.

6. Payment Terms

6.1 Service Fees

Service fees are quoted in Singapore Dollars (SGD) and are payable as specified in our service quotations. Current service pricing is available upon request.

6.2 Payment Timing

Consultation fees are payable prior to service commencement. Acquisition completion fees are payable upon confirmation of vehicle selection and before processing begins.

6.3 Payment Methods

We accept payment via bank transfer, cheque, and major credit cards. Alternative arrangements may be discussed for substantial transactions.

6.4 Taxes

All quoted fees are exclusive of applicable Goods and Services Tax (GST) unless otherwise stated. GST will be added at the prevailing rate.

7. Refund Policy

7.1 Consultation Services

Interest Exploration fees are non-refundable once the consultation session has commenced. Cancellations made at least 48 hours before scheduled appointments may receive full refund.

7.2 Selection Services

Guided Selection fees are partially refundable (50%) if services are cancelled before any vehicle viewings have been arranged.

7.3 Acquisition Services

Acquisition Completion fees are refundable only if cancelled before any documentation processing has begun.

7.4 Processing Time

Approved refunds will be processed within 14 business days via the original payment method.

8. Disclaimers and Limitations

8.1 Service Provision

Our services are provided on an "as is" basis. While we strive for excellence, we do not warrant that our recommendations will meet all expectations or that suitable vehicles will always be available.

8.2 Vehicle Condition

While we conduct thorough assessments, we cannot guarantee the absence of all defects or issues. Clients are advised to conduct their own inspections and due diligence.

8.3 Limitation of Liability

To the maximum extent permitted by law, Ascent Motors shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of our services.

8.4 Maximum Liability

Our total liability shall not exceed the fees paid by you for the specific service giving rise to the claim.

9. Termination

9.1 Termination by Client

You may terminate services at any time by providing written notice. Refund eligibility will be determined according to Section 7.

9.2 Termination by Company

We reserve the right to terminate services if you breach these Terms, provide false information, or engage in prohibited conduct. In such cases, fees paid may be forfeited.

9.3 Effect of Termination

Upon termination, all rights granted to you under these Terms cease. Provisions that by nature should survive termination shall remain in effect.

10. Dispute Resolution

10.1 Informal Resolution

We encourage resolution of disputes through good faith discussion. Please contact us first to attempt informal resolution.

10.2 Mediation

If informal resolution fails, parties agree to attempt mediation through the Singapore Mediation Centre before pursuing other remedies.

10.3 Governing Law

These Terms are governed by the laws of the Republic of Singapore.

10.4 Jurisdiction

Any legal proceedings shall be conducted in the courts of Singapore.

11. General Provisions

11.1 Entire Agreement

These Terms, together with any service-specific agreements, constitute the entire agreement between parties.

11.2 Severability

If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force.

11.3 No Waiver

Failure to enforce any provision shall not constitute waiver of our right to enforce it subsequently.

11.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent.
